PUBLIC OFFER AGREEMENT

Terms and Conditions

1.General Provisions
1.1. This document constitutes an official offer (public offer) of the marketing agency TOT.Marketing, hereinafter referred to as the "Provider," to conclude a contract for the provision of marketing services with any individual or legal entity, hereinafter referred to as the "Customer."
1.2. The contract is considered concluded upon acceptance of the offer by the Customer. Acceptance of the offer is the complete and unconditional acceptance of the contract terms by the Customer through actions specified in this agreement.

2.Subject Matter of the Contract
2.1. The Provider undertakes to provide marketing services as specified in this contract, and the Customer undertakes to pay for these services.
2.2. The scope and volume of services provided are determined in accordance with the Customer's request submitted to the Provider through the TOT.Marketing website.

3.Rights and Obligations of the Parties
3.1. The Provider undertakes:
3.1.1. To provide services in a timely manner and with the quality specified in the Customer's request.
3.1.2. To inform the Customer of all material circumstances related to the provision of services. 3.2. The Provider has the right:
3.2.1. To independently determine the methods and ways of providing services.
3.2.2. To involve third parties in fulfilling obligations under the contract.
3.3. The Customer undertakes:
3.3.1. To provide the Provider with all necessary information for the provision of services.
3.3.2. To pay for the services rendered in full and within the deadlines set by this contract.

4.Cost of Services and Payment Procedure
4.1. The cost of services is determined in accordance with the Provider's price list posted on the TOT.Marketing website or on an individual basis based on the Customer's request.
4.2. Payment for services is made in advance in the amount of 100% of the total cost of services, unless otherwise agreed in writing by both parties.

5.Liability of the Parties
5.1. In case of non-performance or improper performance of their obligations, the parties bear responsibility in accordance with applicable law.
5.2. The Provider is not responsible for the non-provision or inaccuracies of the information provided by the Customer.

6.Dispute Resolution
6.1. All disputes and disagreements arising out of the performance of this contract shall be resolved through negotiations between the parties.
6.2. In case it is impossible to settle the dispute through negotiations, the dispute shall be resolved in court at the Provider's location.

7.Term of the Contract
7.1. This contract enters into force upon acceptance of the offer by the Customer and remains in effect until the parties fulfill their obligations in full.
7.2. The Customer has the right to terminate the contract unilaterally by notifying the Provider at least 30 (thirty) calendar days before the intended termination date.

8.Other Conditions
8.1. This contract, as well as all legal relations arising from it, are governed by the legislation of the European Union.
8.2. Any amendments and additions to this contract are valid if made in writing and signed by both parties.

This contract constitutes a public offer in accordance with Article 2:101 of the Principles of European Contract Law.
